By accessing and using the Bordio cloud-based platform, the mobile application, or any services provided by Bordio SIA (“Bordio”, “we”, “us”, or “our”), you (“User”, “Customer”, or “Authorized User”) agree to comply with and be bound by these Terms of Use and our Privacy Policy. If you do not agree to both these documents, you must immediately cease using our Services.

Description of Services

Bordio offers a cloud-based platform (web application) and a mobile application designed to improve task and project management. Our services provide the following core functionalities:

  1. Task Management: Users can create, assign, track, and manage tasks seamlessly. Whether you have simple to-dos or complex assignments, Bordio ensures everything is organized and accessible.
  2. Project Management: Bordio provides the tools to plan, execute, and review projects. From conceptualization to completion, users can monitor progress, allocate resources, and make data-driven decisions.
  3. Scheduling: Integrated scheduling features allow for efficient time management. Allocate time blocks, set deadlines, and ensure that teams are aligned with their tasks and projects.
  4. Team Collaboration: Bordio fosters team communication and collaboration. Team members can interact, share feedback, update progress, and work in sync to achieve collective goals.
  5. Integration Capabilities: Users have the option to integrate Bordio with third-party applications. This feature enhances the platform’s utility, making it adaptable to varied user needs and existing software ecosystems.
  6. Mobile Access: For users on the go, Bordio’s mobile application ensures that task management and collaboration don’t halt. With a user-friendly interface and comprehensive features, manage your tasks and projects from anywhere.
  7. Support & Training: Bordio is committed to ensuring users make the most of our platform. We offer support services and training resources, ensuring a smooth onboarding process and continuous skill enhancement.
  8. Continual Upgrades: At Bordio, innovation never stops. Users can expect periodic updates, new feature rollouts, and technological enhancements, ensuring they have access to the latest in task and project management tools.

Registration and Access

  1. To use Bordio’s services, Users must register for an account. By registering, Users agree to provide accurate, current, and complete information and maintain its accuracy. Bordio reserves the right to suspend or terminate accounts that violate these terms.
  2. Once registered, users gain access to Bordio’s task and project management tools, along with other functionalities as described in the “Description of Services” section.
  3. Bordio reserves the right to update, modify, or restrict access to some features to certain user tiers or as per periodic changes to the service.
  4. Users accessing Bordio’s platform through the mobile application must ensure that they use the latest version to experience uninterrupted service and the latest features.

Workspaces

Bordio offers two distinct types of Workspaces, each designed for specific use cases and audiences. It’s essential for users to understand the differences and to use them in accordance with Bordio’s guidelines to ensure smooth operation and compliance.

My Workspace:

  1. Definition & Usage: My Workspace is a private space intended solely for personal use by individuals. Users can organize their tasks, events, and even establish projects within this workspace.
  2. Sharing & Collaborations: While users can share projects created within My Workspace with friends or family by sending invitations via email, this feature should be used responsibly. Sharing is intended for personal collaboration only.
  3. Restrictions on Business Use: My Workspace is NOT designed or intended for business or commercial operations. Using My Workspace for business purposes, especially as a means to evade subscription fees, constitutes a violation of our terms. Organizations, businesses, or any group intending to use Bordio for professional purposes should opt for our ‘Organization’ workspace.

Organization

  1. Definition & Usage: The Organization workspace is crafted specifically for professional use by organizations, businesses, and companies. Here, administrators can create teams and projects, fostering a collaborative environment for various professional endeavors.
  2. Teams & Collaboration: Within an Organization workspace, users can form Teams for a more structured collaboration. Every user invited to the Organization must be affiliated with at least one team. Note: A user cannot be part of multiple teams simultaneously.
  3. Subscription Fees: There’s a subscription fee associated with the Organization workspace, based on the count of active users. For detailed pricing information, users are advised to visit our Pricing page. Bordio reserves the right to amend these fees, ensuring that organization administrators are informed via email at least 30 days prior to any pricing modification.
  4. Trial Period & Payments: New organizations on Bordio benefit from a 30-day free trial. Upon the trial’s conclusion, Organization administrators must upgrade to a paid subscription, reflecting the number of users. Should the payment not be made post-trial, significant functionalities within the Organization will be restricted. This includes, but is not limited to, creating tasks, events, or projects, completing or deleting tasks/events, and rescheduling tasks/events. Normal functionality can be resumed upon activating a valid subscription.

Payments and Subscriptions

  1. Free Trial for Organizations: Upon creating an Organization within Bordio, users are eligible for a 30-day free trial, allowing access to all premium features. This trial can only be activated once.
  2. Bordio operates on a subscription-based model. The specific fees are determined by the number of active user accounts linked to an Organization. Subscription fees are recurrent, with available payment options being monthly or annually. Actual prices and any potential discounts or promotional rates can be found on our Pricing Page.
  3. Adding or Removing Users: Organizations have the flexibility to add or remove users at any point in their subscription cycle. In such cases, the system will recalculate the payment amount, leading to either additional charges or refunds, as applicable.
  4. VAT Charges: Being based in Latvia, part of the European Union (EU), we apply VAT tax to Latvian customers and EU-based customers without a valid VAT number. Companies outside the EU or those with a valid VAT number are exempted from this tax.
  5. Payment Methods: Payments are processed through Stripe, which accepts all major credit cards including, but not limited to, Visa, Mastercard, Discover, and American Express.
  6. Invoicing: Invoices are generated automatically and encompass the billing details you’ve furnished. They can be retrieved anytime from the subscription segment within organization settings.
  7. Refunds: Customers have the assurance of a 30-day money-back guarantee post the purchase of either a monthly or annual subscription. Should users opt for a refund within this period, they will receive a full refund without any queries.
  8. Subscription Cancellation: Subscriptions can be terminated at any moment. In such scenarios, a refund for the unused period will be issued. For instance, if an annual subscription has been in use for 6 months, upon cancellation, the user retains access for the remaining 6 months. The termination will be effective prior to the next billing cycle.

User Responsibilities

  1. Users are responsible for all activities under their account and for maintaining the confidentiality of their account credentials. Any unauthorized use or suspected breach of security must be promptly reported to Bordio.
  2. Users are responsible for keeping their login credentials confidential. Bordio will not be held responsible for any unauthorized access to an account resulting from shared or easily guessable passwords.
  3. Users are prohibited from uploading or sharing content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  4. Users must not use the service to conduct or promote any illegal activities.
  5. Users may not use automated scripts to collect information from or otherwise interact with the service (except using our official API).
  6. Users are not allowed to distribute malware, engage in phishing activities, or attempt to breach Bordio’s security measures.
  7. Users are prohibited from engaging in spamming activities. This includes, but is not limited to:
    – Sending unsolicited emails or messages through the Bordio platform.
    – Making unsolicited contact with other users on the platform.
    – Using Bordio’s event and project invitation features to send invites to random or bulk email addresses.
  8. Users may only send event and project invitations through Bordio to individuals they personally know. Sending invitations to unknown parties or in bulk, in an attempt to spam or for any other reason, is a direct violation of these terms.
  9. Engaging in prohibited spam activities may result in immediate suspension or termination of the user’s Bordio account. Bordio reserves the right to take any appropriate legal action against individuals who violate this provision.
  10. Users who receive unsolicited messages or invitations via Bordio are encouraged to report such activities immediately to our support team.
  11. Users must not abuse the platform by creating an excessive number of tasks, events, or projects in a short period (more than 100 entities within 1 minute), which might degrade the performance for other users.
  12. Users must respect the rights and dignity of others. Harassment, bullying, or any other form of abuse towards other users is strictly prohibited. Bordio maintains a zero-tolerance policy for such behaviors.
  13. Users are responsible for ensuring that their use of the Bordio platform and mobile application complies with all local, state, national, and international laws and regulations.
  14. For users utilizing any paid features or subscriptions, they are responsible for timely payments and acknowledging the associated terms, including any penalties for late or failed payments.
  15. Though Bordio employs robust security measures and performs regular backups, users are advised to maintain copies of their content and data uploaded to the platform. Users bear sole responsibility for the data and content they upload or share on Bordio.
  16. Users must not reproduce, duplicate, copy, sell, resell, or exploit any portion of Bordio without express written permission.

Data & Privacy

  1. Bordio is deeply committed to safeguarding the privacy and data of its users. While using Bordio, various types of personal and non-personal information may be collected to enhance user experience, improve our services, and for other operational purposes.
  2. For a detailed understanding of how Bordio collects, uses, and protects user data, please refer to our comprehensive Privacy Policy. By agreeing to these Terms of Use, users also acknowledge and consent to the practices described in the Privacy Policy.
  3. Occasionally, we may update our privacy practices in accordance with evolving legal, technical, or business developments. In such cases, users will be informed through our platform or via email. Continued use of Bordio’s services after such notifications will constitute acceptance of these changes.

Third-Party Integrations

  1. Bordio offers users the capability to integrate with various third-party services and applications, enhancing the platform’s functionality and user experience. However, Bordio does not control third-party services.
  2. While Bordio facilitates these integrations, users are responsible for choosing to enable them, understanding the data sharing and permissions related to each integration, and ensuring their proper use. Users must also abide by the terms and conditions set by these third-party services when accessing them through Bordio.
  3. When users integrate Bordio with third-party services, they may be allowing the transfer of their information, both to and from the third-party. Bordio is not responsible for any data breaches or privacy incidents that may occur within third-party platforms. Users are encouraged to review the privacy policies of third-party services they integrate with Bordio.
  4. Bordio does not guarantee the full functionality, uptime, or availability of third-party integrations. Changes made by third-party services may affect their integration with Bordio, potentially leading to temporary or permanent non-functionality. Bordio shall not be held liable for any disruption, data loss, or other issues caused by third-party integrations.
  5. Bordio reserves the right to terminate or suspend any third-party integration if deemed necessary due to security concerns, legal reasons, or any other reason Bordio sees fit. Users will be notified in such cases, but Bordio is not obligated to provide a reason for the removal or suspension of any third-party integration.
  6. Any support requests or disputes related to third-party services or applications should be directed to the respective third-party service provider. Bordio may provide support for the integration aspect but is not responsible for the actual third-party service functionality or their support.

Intellectual Property

  1. All content, features, and functionality on Bordio, including but not limited to, text, graphics, logos, icons, images, video clips, downloads, interfaces, code, software, systems, and the overall look and feel, (collectively referred to as the “Bordio Content”), are owned by, controlled by, or licensed to Bordio, and are protected by copyright, trademark, and other intellectual property rights and laws.
  2. While users retain any and all rights they might hold in the content they create or upload onto Bordio (e.g., projects, event descriptions, etc.), by using our platform, users grant Bordio a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, adapt, create derivative works from, and publicly display and perform such content, but solely for the purpose of providing, improving, and promoting the Bordio services.
  3. Users must respect the intellectual property rights of others while using Bordio. It is strictly prohibited to upload, download, display, perform, transmit, or otherwise distribute any content in violation of any third party’s copyrights, trademarks, or other intellectual property or proprietary rights.
  4. If you believe your content has been copied in a way that constitutes copyright infringement, or if you are aware of someone else infringing on your intellectual property rights on our platform, please notify us immediately. We will respond to all such notices and take appropriate actions, including removing the infringing material or disabling all links to the infringing material.
  5. Using Bordio does not give users any ownership in the Bordio Content or the right to use any Bordio branding, logos, and/or other trademarks.
  6. Except as expressly provided in these Terms of Use, no part of Bordio and no Bordio Content may be copied, reproduced, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without Bordio’s express prior written consent.

Termination

Bordio reserves the right to suspend or terminate accounts that violate any provision of these Terms of Use, our Privacy Policy, or for any other reason at Bordio’s discretion.

Users can terminate their account at any time through the platform’s interface in the Profile Settings section. Upon termination, users will lose access to any data, projects, or tasks stored within Bordio’s platform.

Changes to Terms

We reserve the right to modify these Terms of Use at any time. When we make changes, we will notify our users via Email or In-app notifications at least 30 days before the changes take effect. Continued use of Bordio after the notification of such changes indicates your acceptance of the updated terms.

Disclaimers & Limitation of Liability

To the maximum extent permitted by applicable law, Bordio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the service; (d) any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our service by any third party; or (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the service.

In no event shall Bordio’s aggregate liability for all claims relating to the services exceed the amount you paid to Bordio, if any, in the last 12 months for the services.

Governing Law

Any dispute, controversy, or claim arising out of, relating to, or in connection with this agreement, including the breach, termination, or validity thereof, shall be finally resolved by arbitration in Latvia in accordance with the Arbitration Rules of the “Riga International arbitration court.”
